These Standard Terms & Conditions ("Terms") govern the partnership between AdEx, Inc. ("AdEx") and carriers who integrate AdEx's advertising platform on their tracking pages.
AdEx operates a programmatic advertising platform that serves contextually relevant advertisements on carrier package tracking pages.
Carrier agrees to integrate the AdEx SDK (a simple JavaScript tag) on tracking pages per AdEx's documentation.
AdEx will pay Carrier 33% of all net advertising revenue generated from advertisements served on Carrier's tracking pages.
Carriers generating over 20,000 impressions per day may qualify for enhanced revenue sharing of up to 50%.
Payments are made monthly via ACH direct deposit within 60 days of month end (NET-60). For example, January revenue is paid by March 31. Minimum payment threshold is $100.
Carrier is responsible for all applicable taxes and must provide completed W-9 form (US entities) or W-8BEN (non-US entities).
This Agreement begins upon acceptance and continues for an initial term of one (1) year, then automatically renews for successive one-year periods.
Either party may terminate by providing 60 days written notice prior to the end of the then-current term.
AdEx may terminate immediately for fraudulent traffic, material breach, brand safety violations, or illegal activity.
AdEx owns all data collected through the AdEx SDK, including ad performance data and user behavior on tracking pages. Carrier retains ownership of shipment and customer data collected independently.
AdEx's SDK is GDPR and CCPA compliant. Both parties shall comply with all applicable privacy laws.
Carriers may block specific advertiser categories via the AdEx dashboard. AdEx prohibits illegal content, adult/NSFW content, malware, hate speech, and other harmful content.
Carrier is free to work with other advertising platforms or monetize tracking pages through other means. There is no exclusivity requirement.
AdEx's maximum liability is limited to the total revenue paid to Carrier in the 12 months preceding the claim. AdEx is not liable for indirect, consequential, or punitive damages.
These Terms are governed by Delaware law. Disputes shall be resolved through binding arbitration in Delaware under AAA Commercial Arbitration Rules.
